Guidelines for the National Minority Supplier Development Council's Advanced Management Education Program Alumni Group

Article I

Name

The Advanced Management Education Program Alumni Group is an affinity group of the National Minority Supplier Development Council, Inc.

Article II

Purpose

The purpose of the Advanced Management Education Program Alumni Group is to organize a unified body for the purpose of working with NMSDC to increase educational, developmental and networking activities for the alumni. The Alumni Group chairman will meet with the NMSDC President in the first quarter to review the year’s plan. All activities must be approved in advance by the NMSDC President.

Article III

Membership

A person is eligible to become a member of the Advanced Management Education Program Alumni Group if he or she is an owner of an NMSDC-certified Minority Business Enterprise (MBE), who has successfully completed the National Minority Supplier Development Council’s Advanced Management Education Program. Members acquire the right of voting and the privilege of holding office only after they have paid annual fees in the first quarter of each year.

Article IV

Officers

The volunteer officers of the Alumni Group shall be the Chairman, Vice Chairman, Secretary and Treasurer. The terms of office will be two years. No officer will serve more than two full terms in succession.

Article V

Executive Committee

The officers will comprise the Executive Committee, which will carry on the activities of the Alumni Group between Annual Meetings of the members. Meetings of the Executive Committee may be called at any time deemed necessary by the Chairman. From its class representatives and other alumni members, the Committee will form various sub-committees/task forces to carry out special functions.

Article VI

Class Representatives

One class representative will be elected to represent each graduating class of the Advanced Management Education Program. Each class representative will act as the liaison to the other class members for that year, in support of the Alumni Group’s purpose. Class representatives will serve on sub-committees/task forces of the Alumni Group. No person will simultaneously hold the positions of Officer and Class Representative.

Article VII

Meetings

The Alumni Group will hold a yearly meeting, for the purpose of electing officers and class representatives, and for the transaction of other business, in conjunction with the Alumni Group educational session at the NMSDC Conference. The current Roberts’ Rules of Order will govern parliamentary procedure.

Each member will be entitled to one vote in person upon each subject properly submitted to vote. A quorum will consist of one-fourth of the voting members eligible to vote.

Article VIII

Nominations and Elections

The Chairman will appoint a Nominating Committee to receive nominations for Officers and Class Representatives, not later than two months before the annual election. The Committee will ensure that candidates are eligible and willing to serve, and will distribute ballots accordingly. Those elected will assume their duties on the first day of the next calendar year.  

Article IX  

Amendments

These Guidelines may be amended by a majority vote of the membership. Proposed amendment(s) will be provided to the NMSDC President for review and approval, prior to the advance distribution of materials for the vote of the membership at annual meeting.

Article X  

Dissolution

No part of the income of the Alumni Group will inure to the benefit of any member, officer or any private individual and no officer or private individual shall be entitled to any distribution of any of the Alumni Group assets on dissolution. In the event of dissolution, all remaining assets will be vested in the National Minority Supplier Development Council.
